By accessing and using OptiReply, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our service. We reserve the right to modify these terms at any time with notice to you.

Service Description

OptiReply is an AI-powered platform that helps businesses manage customer reviews and generate intelligent responses. Our service includes:

• AI-generated review response suggestions
• Business analytics and review insights
• Integration with Google Business Profile
• Response history and management

All generated content is provided as suggestions and requires your review and approval before publication.

Account Registration

To use OptiReply, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access.

Subscription & Billing

OptiReply offers multiple subscription tiers: Free, Starter ($29/month), Professional ($79/month), and Agency ($199/month). Billing is processed monthly on your subscription date. You authorize us to charge your provided payment method.

• Auto-renewal: Subscriptions renew automatically unless cancelled
• Cancellation: Cancel anytime from Account Settings
• Refunds: Not provided for partial months
• Payment Method: You must provide valid payment information

Acceptable Use

You agree to use OptiReply only for lawful purposes and in compliance with all applicable laws. You will not:

• Generate fake or misleading reviews
• Violate platform policies of Google, Yelp, or other review sites
• Engage in review gating or other deceptive practices
• Use the service for illegal activities or fraud
• Attempt to reverse-engineer or access the AI models

Prohibited Uses

The following activities are strictly prohibited and may result in account suspension or termination:

• Creating fake reviews or responses with false information
• Harassing or targeting individuals with responses
• Violating Google API Terms of Service
• Attempting unauthorized access to our systems
• Collecting data without permission

Intellectual Property

OptiReply and its content are protected by copyright and intellectual property laws. You may not reproduce, distribute, or transmit the platform's content or technology without explicit permission. AI-generated responses are provided for your use under the terms of your subscription.

No Warranties

OptiReply is provided "as is" without warranties of any kind. We do not guarantee that:

• The service will be uninterrupted or error-free
• AI responses will be accurate or appropriate for all situations
• The platform will meet your specific business needs

Limitation of Liability

To the fullest extent permitted by law, OptiReply and Seven9IT Solutions shall not be liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid for your subscription in the past 12 months.

Account Termination

We may terminate your account if you violate these terms or engage in prohibited uses. Upon termination:

• Your access to OptiReply will be revoked immediately
• Your data will be retained per our Privacy Policy
• You may request data deletion under our Data Deletion Policy

Governing Law & Jurisdiction

These Terms of Service are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.
