Terms of Service

By accessing or using OptiReply ("the Service"), operated by Seven9IT Solutions ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users of OptiReply, including free and paid subscribers.

OptiReply is a web-based SaaS platform that helps small and medium businesses manage customer reviews, generate AI-powered responses, and extract business intelligence from customer feedback. Where you choose to connect a Google Business Profile, OptiReply can also help you manage that review workflow.

OptiReply is operated from Whitby, Ontario, Canada by Seven9IT Solutions.

To use OptiReply, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, including activity by any team members you invite to access your account
• Providing accurate and up-to-date account information
• Notifying us immediately of any unauthorized account access
• Promptly removing access for any team member who should no longer have it, including former employees or contractors

We ask that each individual maintain a single account. You must not create or use multiple accounts to circumvent subscription limits, free-tier allowances, promotional offers, or other usage restrictions. Where we reasonably determine that this has occurred, we reserve the right to suspend or terminate all associated accounts.

You must be at least 18 years old to use OptiReply.

OptiReply offers multiple subscription tiers — Free, Starter, Pro, and Agency — each with its own response allowance and feature set. Current plan pricing, response allowances, and features are published at optireply.com/#pricing and may change from time to time; where required by law, you will be notified of material pricing changes before they take effect on your account.

Refunds are considered on a case-by-case basis. Contact support@seven9it.com within 7 days of a charge to request one; submitting a request does not guarantee a refund will be issued.

You agree to use OptiReply only for lawful business purposes consistent with these Terms. Acceptable uses include:

• Generating AI-assisted responses to genuine customer reviews
• Analyzing feedback patterns to improve your business
• Managing your review workflow, including any connected Google Business Profile

• Generating fake, misleading, or deceptive reviews
• Review gating or any practice that selectively solicits positive reviews
• Violating Google's review policies or platform terms of service
• Using the Service to harass, defame, or harm individuals
• Attempting to reverse-engineer or scrape the platform
• Reselling access to the platform without written authorization
• Using the Service for any unlawful purpose

Users are responsible for complying with applicable consumer protection laws and the policies of any third-party review platforms they use.

You are responsible for the content you submit to and publish through OptiReply, including AI-assisted responses you review and approve. This includes ensuring that your content complies with applicable laws and with the terms and policies of any third-party platform where it is published.

You agree to defend, indemnify, and hold harmless Seven9IT Solutions from and against any third-party claims, damages, and reasonable expenses arising out of: content you publish through the Service, your misuse of the Service, your violation of these Terms, or your infringement of a third party's rights.

All platform code, design, branding, and content created by Seven9IT Solutions is our exclusive intellectual property. You retain ownership of your business data and reviews.

AI-generated responses produced by the Service are provided for your use. You are responsible for reviewing and approving all content before publishing. For more detail on how we use AI, see our AI Policy.

If you send us suggestions, ideas, or other feedback about OptiReply, you agree that we may use that feedback for any purpose, including to improve the Service, without any obligation to compensate you.

OptiReply relies on third-party providers — including Google Cloud Platform, Stripe, Anthropic, Google, and Resend — to deliver core functionality. We select these providers carefully, but we do not control their systems and are not responsible for outages, errors, or changes originating from a third-party provider. If a connected third-party service (such as Google Business Profile) becomes unavailable or changes its terms, related OptiReply features may be affected accordingly.

Some of the third-party providers we rely on to deliver the Service are subject to applicable trade control and economic sanctions laws. You may not access or use OptiReply if you are located in, or ordinarily resident in, a country or region subject to comprehensive trade sanctions, or if you are listed on any applicable restricted party list under Canadian, U.S., or other applicable law. You agree to comply with all applicable trade control and sanctions laws in your use of the Service.

OptiReply is provided "as is" without warranties of any kind. We do not guarantee that:

• The Service will be uninterrupted or error-free
• AI-generated content will be accurate or suitable for your needs
• Results from using the Service will meet your expectations

You use the Service at your own risk. Always review AI-generated content before publishing.

We are not responsible for delays or failures in the Service caused by events beyond our reasonable control, including outages of a third-party provider we rely on (such as Google Cloud Platform, Stripe, Google, or Anthropic), internet or telecommunications failures, government actions, or natural disasters. Where such an event affects the Service, we will work to restore normal operation as soon as reasonably possible.

To the maximum extent permitted by law, Seven9IT Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of OptiReply, including but not limited to lost profits, data loss, or business interruption.

Our total liability to you shall not exceed the greater of (a) the amount you paid for the Service in the twelve (12) months preceding the claim, or (b) CAD $100.

Any claim arising out of or relating to these Terms must be brought within two years of the date the claim arose, consistent with the standard limitation period under Ontario law, except where a different period is required by applicable law.

You may cancel your account at any time through your account settings or by contacting support.

We reserve the right to suspend or terminate accounts that violate these Terms. Where a violation is serious, we may suspend account access immediately and without prior notice. Any dispute over a suspension or termination decision may be raised with us at legal@seven9it.com.

Upon termination, your data will be handled in accordance with our Privacy Policy and Data Deletion Policy. Certain records may be retained beyond termination where required by applicable law or for legitimate financial, audit, security, or operational purposes, consistent with our Data Processing Agreement.

OptiReply is under active development. We may add, change, or discontinue features of the Service at any time. We will provide reasonable notice of changes that materially reduce the functionality of a paid plan you are subscribed to.

By using OptiReply, you consent to receiving communications from us electronically, including by email, in-app notification, or by posting notices on the Service. These communications satisfy any requirement that such communications be in writing.

• Entire Agreement. These Terms, together with our Privacy Policy, Data Processing Agreement, AI Policy, Data Deletion Policy, and Security document, constitute the entire agreement between you and Seven9IT Solutions regarding your use of OptiReply, and supersede any prior agreements or understandings.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, without your consent.
• Survival. Provisions relating to intellectual property, feedback, your responsibility for your content, indemnification, disclaimers, limitation of liability, and any obligations that by their nature should continue will survive termination of your account.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario.
